Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your use of the Shagun platform at shagunn.com (the "Platform"). By registering as a vendor, activating a referral link as a referrer, or submitting an inquiry as a lead, you agree to be bound by these Terms.

If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

Please read these Terms carefully. If you do not agree, do not use the Platform.

2. Who Uses the Platform

The Platform serves three distinct user types:

  • Vendors — wedding industry businesses (photographers, planners, venues, decorators, etc.) who create and manage referral programs for their past clients.
  • Referrers — past clients of vendors who receive personalised referral links and earn coin-based rewards when their referrals result in confirmed bookings.
  • Leads — new prospects who discover a vendor through a referral link and submit an inquiry.

Different sections of these Terms apply to different user types. Where a section is directed at a specific user type, it is labelled accordingly.

3. Vendor Accounts and Responsibilities

3.1 Registration

To use the Platform as a vendor, you must provide accurate business information and verify your email address. You are responsible for maintaining the security of your account credentials.

3.2 Referral Program Configuration

You are solely responsible for:

  • Setting coin reward values and ensuring they represent genuine value to your referrers
  • Setting lead discounts accurately and honouring them when a booking is confirmed
  • Setting coin expiry periods that are clearly communicated to your referrers
  • Completing your referral program configuration before activating it

We reserve the right to display program quality indicators on vendor profiles (such as reward value scores) to help referrers assess program quality.

3.3 Client Data

When you upload a past client list (names, phone numbers, email addresses), you represent and warrant that:

  • You have a legitimate prior relationship with each person on the list
  • You have a lawful basis under applicable law (including India's Digital Personal Data Protection Act, 2023) to share their data with us for the purpose of sending referral invites
  • You will not upload data belonging to people who have not had a commercial relationship with your business

We process this data solely to generate referral links and send invites on your behalf.

3.4 Booking Confirmations

You are obligated to confirm bookings on the Platform promptly and accurately. The Platform relies on your confirmation to:

  • Credit the referrer's coin wallet
  • Validate and apply the lead's coupon code
  • Send confirmation notifications to all parties

Deliberately failing to confirm bookings that occurred through a referral — whether to avoid crediting referrers or for any other reason — constitutes a material breach of these Terms and may result in account suspension.

3.5 Coin Liability

As coins are credited to referrer wallets, you accept outstanding redemption obligations to those referrers. Coins are vendor-specific and can only be redeemed for services or discounts with your business. You are responsible for monitoring and managing your coin liability through the dashboard tools we provide. We are not responsible for your inability to honour redemptions arising from your own program settings.

3.6 Prohibited Conduct

Vendors must not:

  • Create fake referral transactions or collude with referrers to manufacture fraudulent bookings
  • Misrepresent coin values or discount entitlements to referrers or leads
  • Use the Platform to contact or market to individuals who have not consented to such communications
  • Upload client lists that include personal data obtained illegally or without appropriate consent

4. Referrer Rights and Responsibilities

4.1 Activation

You become a referrer when a vendor adds you to their program. You may activate your personalised referral link by claiming it via the link sent to you and providing your email address.

4.2 Referral Links

Your referral link is personal to you and tied to a specific vendor's program. You may share it freely with friends, family, and anyone who may be interested in the vendor's services. You may not:

  • Sell, transfer, or assign your referral link to another person
  • Use automated tools, bots, or scripts to generate artificial clicks or inquiries
  • Misrepresent the vendor's services when sharing your link

4.3 Coin Wallets

Coins credited to your wallet are vendor-specific and have no cash value independent of the vendor's program. Coins are not transferable between vendors or between referrers. Coins expire in accordance with the vendor's configured expiry window (typically 12–18 months from the date of credit). We will notify you before your coins expire.

The Platform displays your coin balance accurately. We are not responsible for a vendor's failure to honour coins or redemption coupons — such disputes are between you and the vendor directly.

4.4 Redemption

To redeem coins, you request a redemption coupon through your referrer dashboard. The coupon is valid for a period configured by the vendor (default: 90 days). The vendor must mark the coupon as redeemed to complete the process. At MVP, redemption is for discounts against the vendor's services only. Cash redemption may be introduced in a future version.

5. Leads

By submitting an inquiry form through a referral link, you:

  • Consent to receive a coupon code via WhatsApp or email for use with the vendor
  • Consent to the vendor receiving your inquiry details (name, phone, email, wedding details)
  • Acknowledge that your inquiry will be attributed to the referrer who shared the link with you
  • Agree that your confirmed booking (if any) may trigger coin rewards to the referrer

Submission of an inquiry form does not constitute a booking or any contractual obligation between you and the vendor. Any booking agreement is solely between you and the vendor and is entirely outside the scope of this Platform.

6. Coin Economy — Important Disclosures

The coin system on this Platform is a vendor-managed loyalty currency, not a financial product. Key characteristics:

  • Coins have no monetary value outside the vendor's own service offerings
  • Coins are not redeemable for cash at MVP (this may change in a future version)
  • Coins are not transferable and cannot be sold
  • Coin values are set by each vendor independently; we do not guarantee a minimum value
  • Expired coins cannot be reinstated
  • We do not hold, escrow, or guarantee any funds on behalf of referrers or vendors

Because we do not facilitate cash transactions between users, we are not a payment aggregator, wallet provider, or financial intermediary under applicable Indian law.

7. Platform Availability and Limitations

We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may:

  • Perform maintenance that temporarily takes the Platform offline (with reasonable notice where possible)
  • Suspend or terminate vendor accounts that violate these Terms
  • Modify or discontinue features with reasonable notice

If we discontinue the Platform entirely, we will provide at least 30 days' notice to registered vendors.

8. Intellectual Property

All software, design, text, and other content on the Platform is owned by or licensed to us. You may not copy, reverse-engineer, or create derivative works of the Platform without our written permission.

Your business name, logo, and content that you upload remain your property. By uploading content to the Platform, you grant us a limited licence to display and use that content solely for the purpose of operating your referral program.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We are not liable for any indirect, incidental, special, or consequential loss arising from your use of the Platform, including lost revenue, lost referrals, or unrealised coin rewards.
  • Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the fees you paid to us in the 3 months preceding the claim.
  • We are not liable for disputes between vendors and referrers regarding coin values, redemption, or booking confirmations. Those are commercial relationships between private parties.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, or costs (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any third party's rights (including data protection rights)
  • Your misuse of the Platform or misrepresentation of the platform's features to others

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the jurisdiction of the courts of [City, India — to be confirmed upon legal entity registration].

We encourage you to contact us first to resolve any dispute informally before initiating legal proceedings.

12. Changes to These Terms

We may update these Terms from time to time. We will notify registered vendors of material changes via email at least 14 days before changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

13. Termination

13.1 By You

Vendors may deactivate their account at any time through the Platform settings. Deactivation freezes all referrer wallets and stops new referral activity. Outstanding coin obligations to referrers remain your responsibility after deactivation.

13.2 By Us

We may suspend or terminate your account immediately if you:

  • Breach these Terms materially
  • Engage in fraudulent, abusive, or illegal activity on the Platform
  • Upload personal data without a lawful basis

We will notify you of the reason for termination except where doing so would be unlawful or endanger others.

14. Miscellaneous

  • Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and us regarding the Platform.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • No Waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity.

Note: Until a legal entity is formally registered, these Terms are published in good faith by the individual operating the Shagun platform. The legal entity details (registered name, address, CIN) will be updated upon incorporation.
